SCDC Confidentiality Agreement

In this document, “SCDC,” “we,” “us,” and “our” mean S.H.A.R.E. Community Development Corp, a Texas corporation, together with its wholly owned subsidiaries and affiliated entities. SCDC may designate any wholly owned subsidiary or affiliated entity to perform its obligations, including to develop, hold title to, execute a purchase contract for, and convey a building. Doing so does not relieve SCDC of its obligations.

This page applies to sharecommunitydevelopmentcorp.com and scdctexas.com and to every related page, form, and online feature SCDC operates. The footer of scdctexas.com links to the copies of these policies hosted on sharecommunitydevelopmentcorp.com; those copies govern both websites.

What This Agreement Covers

This agreement does not restrict your use of SCDC’s public marketing content. You may read, share, and discuss the publicly accessible pages of sharecommunitydevelopmentcorp.com and scdctexas.com freely.

This agreement applies only to the following, which together are the “Confidential Information”:

• materials that are expressly marked or identified as confidential or proprietary by SCDC;
• materials made available to you through the Investor-Purchaser Portal or any other password-protected or gated area of our websites;
• materials provided to you in an executive briefing, one-on-one presentation, or due diligence session that SCDC identifies as confidential at the time; and
• information SCDC designates as confidential under a signed agreement with you, including the Founding Investor-Purchaser Pre-Sale Reservation of Interest Agreement.

Confidential Information typically includes financing structures, Developer Contribution amounts, capital stack methodologies, purchase pricing formulas, construction costs, projected returns, internal financial projections, business strategies, and Investor-Purchaser lists.

By accessing Confidential Information, you agree to keep it in strict confidence and to use it only for the purpose for which it was disclosed — evaluating or participating in the SCDC Founding Investor-Purchaser program.

To the extent applicable, you will not modify, reverse engineer, decompile, create derivative works from, or disassemble any Confidential Information unless authorized in writing by the disclosing party, nor use it in any manner detrimental to the interests of SCDC or any affiliate, partner, or contractor with a participating interest in opportunities described on the Website (each, a “Disclosing Party”).

Exceptions

These restrictions do not apply to Confidential Information that: (a) was in the public domain at the time of disclosure; (b) became publicly available after disclosure without breach of this agreement; (c) was lawfully received from a third party without restriction; (d) was known to you without restriction before you accessed it through the Website; (e) was independently developed by you without breach of this agreement; (f) was generally made available to third parties by SCDC without restriction; or (g) is required to be disclosed by applicable law.

Protected Disclosures

Nothing in this agreement, in the Terms of Use, or in any SCDC agreement prevents you from: (a) reporting a possible violation of law to a governmental agency or regulator, or participating in a governmental investigation; (b) responding truthfully to a subpoena, court order, or other legal process; (c) providing truthful testimony or information in any legal proceeding; or (d) exercising any right that cannot be waived under applicable law.

Notice and Remedies

You agree to promptly notify SCDC of any unauthorized use or disclosure of Confidential Information, and you are responsible for any breach of these obligations by your employees and agents. Because of the nature of the Confidential Information, you agree that a breach or threatened breach may cause not only financial harm but irreparable harm for which monetary damages are not an adequate remedy. A Disclosing Party is therefore entitled, in addition to any other legal or equitable remedy, to injunctive or similar equitable relief, without the necessity of posting a bond.

Disputes

Any dispute arising out of or relating to this page or your use of SCDC’s websites is governed by the dispute resolution provisions of the SCDC Website Terms of Use, which provide for a sixty (60) day informal resolution period followed by final and binding individual arbitration seated in Houston, Harris County, Texas, administered by the American Arbitration Association under its Commercial Arbitration Rules, governed by the Federal Arbitration Act. Those provisions waive trial by jury and waive class, collective, and representative proceedings.

Any dispute arising out of or relating to a signed Founding Investor-Purchaser Pre-Sale Reservation of Interest Agreement, any addendum to it, or a Purchase Contract is governed by the arbitration provisions of those signed agreements, which control over this page.
