PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER IN SECTION 13, WHICH AFFECT HOW DISPUTES BETWEEN YOU AND SCDC ARE RESOLVED.

1. Agreement to These Terms

These Terms of Use ("Terms") govern your access to and use of sharecommunitydevelopmentcorp.com, scdctexas.com, and any other website, page, form, portal, or online feature operated by S.H.A.R.E. Community Development Corp, a Texas corporation, and its wholly owned subsidiaries and affiliated entities ("SCDC," "we," "us," or "our") that links to these Terms (collectively, the "Site"). SCDC may designate any wholly owned subsidiary or affiliated entity to perform its obligations without being relieved of them.

These Terms govern both sharecommunitydevelopmentcorp.com and scdctexas.com. The footer of scdctexas.com links to the copies of these Terms and the other SCDC policies hosted on sharecommunitydevelopmentcorp.com; those copies govern both websites.

By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.

If you use the Site on behalf of an entity, you represent that you are authorized to bind that entity, and "you" means both you and that entity.

2. What This Site Is — and What It Is Not

The Site is an informational and marketing website. It describes SCDC, its communities, its construction methods, and its Founding Investor-Purchaser program.

The Site is not:

• a securities offering platform, investment portal, crowdfunding portal, or investor marketplace;
• a lending platform or a place to apply for, originate, or service a loan;
• a place where any transaction is executed. No reservation, purchase, or transfer occurs on the Site.

SCDC does not act as a broker-dealer, investment adviser, mortgage broker, mortgage loan originator, or real estate brokerage in connection with the Site.

3. No Offer; Signed Agreements Control

Nothing on the Site is an offer to sell or a solicitation of an offer to buy any security, or an offer to sell real estate. Nothing on the Site creates any binding commitment by SCDC to sell, deliver, build, price, or finance anything.

Any relationship between you and SCDC regarding the Founding Investor-Purchaser program is governed exclusively by the signed Founding Investor-Purchaser Pre-Sale Reservation of Interest Agreement, its addenda, and any subsequent real estate purchase contract (together, the "Program Agreements"). In any conflict between the Site and the Program Agreements, the Program Agreements control.

4. No Professional Advice

SCDC does not provide legal, tax, accounting, investment, insurance, appraisal, or real estate advice through the Site, and nothing on the Site is a recommendation that you enter into any transaction. SCDC does not evaluate whether any opportunity is suitable for you. Consult your own professional advisers.

5. Eligibility

The Site is intended for users who are at least 18 years of age and legally able to enter contracts. Individuals under 18 may not register for or use the Site. The Site is operated from the United States and is intended for U.S. users; if you access it elsewhere, you are responsible for compliance with your local law. We may restrict access to the Site, or to any part of it, for any person, entity, or jurisdiction, at any time.

6. Accounts

Some features may require an account. If you create one, you agree to provide accurate information and keep it current, to keep your credentials confidential, to be responsible for activity under your account, and to notify us promptly of any unauthorized use. We may suspend or terminate an account at any time, including for inaccurate information or breach of these Terms.

7. Acceptable Use

You agree not to:

• use the Site for any unlawful purpose, or in violation of these Terms;
• use the Site to advertise, solicit funds, or sell products;
• scrape, crawl, harvest, or systematically collect content or user information by automated means, except standard search engine indexing;
• collect or store other users' personal information without their consent;
• reverse engineer, decompile, or attempt to derive source code from the Site;
• interfere with, disrupt, or circumvent any security or access-control feature of the Site;
• attempt to gain unauthorized access to the Site or connected systems;
• frame the Site, or use meta tags or hidden text incorporating SCDC trademarks;
• post or transmit content that is unlawful, defamatory, harassing, obscene, threatening, or infringing; or
• misrepresent your identity or your authority to act for another person or entity.

8. Intellectual Property

The Site and its contents — text, images, video, renderings, designs, graphics, layout, software, and the selection and arrangement of all of it — are owned by SCDC or its licensors and protected by intellectual property laws. SCDC's names, logos, and marks, including Social Community Engineering™, Affordable Penthouse Fortress™, and the SCDC Wealth Multiplier™ system, are trademarks of SCDC claimed under common law and may not be used without written permission.

We grant you a limited, revocable, non-exclusive, non-transferable license to view and to download or print one copy of Site content for your own personal, non-commercial use. You may not copy, modify, republish, distribute, sell, or create derivative works from Site content, or remove any proprietary notice, without our prior written consent. All rights not expressly granted are reserved.

You may link to the Site with text links only, provided the link does not use our marks, does not suggest affiliation or endorsement, and does not appear alongside unlawful or disparaging content. We may withdraw this permission at any time.

9. Content You Submit

If you submit content through the Site — a contact form, an inquiry, a comment, a document upload, or anything else ("Your Content") — you retain ownership of it.

You grant SCDC a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display Your Content for the purpose of responding to you, operating and improving the Site, and administering the Founding Investor-Purchaser program. For any other use, including marketing or public display, we will obtain your separate written permission.

You represent that you have the right to submit Your Content and that it does not infringe anyone's rights. Do not submit confidential information you do not want us to have, and do not submit unsolicited business ideas or proposals; if you do, we are under no confidentiality obligation with respect to them.

Personal information you submit is handled under our Privacy Policy.

10. Testimonials and Endorsements

Testimonials on the Site reflect individual experience and opinion, are not representative of all participants, and are not a guarantee of results.

Some people who provided testimonials received a benefit from SCDC in the form of an expanded reservation — the right to purchase additional buildings, at the same price, on the same financing terms, and with the same per-building deposit as their original buildings, with that deposit withheld at contract execution rather than paid upfront. No buildings are given free. The same expanded reservation is available to Investor-Purchasers who refer a purchaser whose Reservation Deposit is received. See our Program Disclosures and Risk Statement for the full description.

If you provide a testimonial, the terms of its use will be set out in a separate written agreement.

Nothing in these Terms or in any SCDC agreement prevents you from reviewing SCDC, reporting concerns to a regulator, or providing truthful information in any legal or governmental proceeding.

11. Third-Party Links and Dealings

The Site may link to third-party websites and content. We do not control, endorse, or take responsibility for them, and your use of them is governed by their terms and at your own risk. Any dealings you have with third parties found through the Site are solely between you and them.

12. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by law, SCDC and its parent, subsidiaries, affiliates, and their respective officers, directors, employees, agents, contractors, licensors, and suppliers (the "SCDC Parties") disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

The SCDC Parties do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that content on the Site is accurate, complete, current, or reliable. Content may include errors and may become outdated.

The SCDC Parties are not liable for any decision you make based on Site content. Reliance on Site content is at your sole risk.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

13. Dispute Resolution — Arbitration and Class Action Waiver

(a) Informal resolution first. Before starting arbitration, you and SCDC agree to send written notice describing the dispute and a proposed resolution, and to attempt in good faith to resolve it for sixty (60) days. Notice to SCDC goes to admin@scdctexas.com and to the address in Section 21.

(b) Binding arbitration. IF THE DISPUTE IS NOT RESOLVED, ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, NOT IN COURT. YOU AND SCDC WAIVE THE RIGHT TO A JURY TRIAL. Arbitration is administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Houston, Harris County, Texas. The Federal Arbitration Act, 9 U.S.C. §1 et seq., governs this section.

(c) Delegation. The arbitrator, not a court, decides questions about the interpretation, applicability, enforceability, and formation of this arbitration agreement.

(d) Class action waiver. YOU AND SCDC AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any representative proceeding. If this subsection is held unenforceable as to a particular claim, that claim proceeds in court and the rest of this Section 13 still applies to all other claims.

(e) Carve-outs. Either party may (i) seek temporary or preliminary injunctive relief from a court to protect intellectual property or confidential information pending arbitration, and (ii) bring an individual claim in small claims court if it qualifies.

(f) Opt-out. You may opt out of this Section 13 by sending written notice to admin@scdctexas.com, or to the address in Section 21, within thirty (30) days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect any other part of these Terms.

(g) Costs and confidentiality. Arbitration fees are allocated under the AAA rules. The arbitration and any award are confidential except as necessary to enforce or challenge the award or as required by law.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. For any matter not subject to arbitration, you and SCDC consent to the exclusive jurisdiction and venue of the state and federal courts located in Harris County, Texas.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SCDC PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, regardless of the theory of liability and even if advised of the possibility of such damages.

THE SCDC PARTIES' TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID SCDC FOR ACCESS TO THE SITE IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

This section does not limit liability that cannot be limited under applicable law, and does not apply to the Program Agreements, which contain their own terms.

Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless the SCDC Parties from any claims, damages, losses, and reasonable attorneys' fees arising from (a) your use of the Site, (b) content you submit, (c) your breach of these Terms, (d) your violation of law, or (e) your misrepresentation to SCDC. We may assume exclusive defense and control of any matter subject to indemnification by you, and you will cooperate. You will not settle any such matter without our prior written consent.

17. Suspension, Termination, and Survival

We may modify, suspend, or discontinue the Site or any part of it, and may suspend or terminate your access, at any time, for any reason, without notice or liability. We may investigate suspected breaches and cooperate with law enforcement.

Sections 3, 4, 8, 9, 10, 12, 13, 14, 15, 16, and 18 survive termination.

18. Changes to These Terms

We may update these Terms. The version posted when you use the Site governs that use. Material changes will be indicated by updating the "Last Updated" date, and, where appropriate, by notice on the Site. Changes are prospective only. Continued use after changes are posted constitutes acceptance. Review these Terms periodically.

19. Electronic Communications

You consent to receive notices, disclosures, and agreements from SCDC electronically, by email or by posting on the Site, and agree that electronic signatures and records satisfy any legal requirement that such communications be in writing. You may withdraw this consent by discontinuing use of the Site; withdrawal does not affect the validity of prior electronic records.

20. General

Entire agreement. These Terms and the documents referenced in them are the entire agreement between you and SCDC about the Site. They do not supersede the Program Agreements.

Severability. If any provision is unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. We may assign these Terms; you may not without our written consent.

Headings. Headings are for convenience only.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
