SCDC Earnings Disclaimer

In this document, “SCDC,” “we,” “us,” and “our” mean S.H.A.R.E. Community Development Corp, a Texas corporation, together with its wholly owned subsidiaries and affiliated entities. SCDC may designate any wholly owned subsidiary or affiliated entity to perform its obligations, including to develop, hold title to, execute a purchase contract for, and convey a building. Doing so does not relieve SCDC of its obligations.

This page applies to sharecommunitydevelopmentcorp.com and scdctexas.com and to every related page, form, and online feature SCDC operates. The footer of scdctexas.com links to the copies of these policies hosted on sharecommunitydevelopmentcorp.com; those copies govern both websites.

This page describes the limits of any earnings, income, or return figure you encounter in SCDC materials. Please read it in full, together with our Program Disclosures and Risk Statement and Refund Policy.

No Guarantee of Earnings or Results

There is no guarantee that you will earn any money, achieve any particular result, or avoid losses. Any income, return, or earnings statement, example, or figure appearing anywhere in our websites, brochures, presentations, videos, webinars, or briefings is an estimate of potential only — illustrative, frequently hypothetical, and not a promise or guarantee of future results.

Your results depend on factors individual to you and outside our control, including your financing qualification, your decisions, timing, and market conditions. We do not know you, your finances, or your circumstances, and we cannot and do not guarantee that you will make any money or any particular amount.

Projections Are Illustrations, Not Promises

Any projected return, pro forma model, cash-flow estimate, appreciation estimate, or “wealth multiplier” illustration is hypothetical and is not guaranteed. Projections rest on assumptions about rents, occupancy, expenses, interest rates, construction costs, timing, and market conditions that may prove incorrect.

Projections are not based on the actual operating results of completed, delivered, and leased SCDC buildings.

A projection about a property’s value is a projection about that property. It is not a statement of what any person will receive.

Figures shown have not been independently audited or verified unless expressly stated. Past performance is not indicative of future results. Hypothetical or simulated performance is not indicative of future results. Where figures are attributed to a person or entity, they reflect that party’s own experience, are not typical or average, and are not a promise of your results.

Testimonials Are Not Representative

Testimonials and endorsements reflect the individual experiences and opinions of the people who gave them. They are not representative of all participants and are not a guarantee that you will have similar experiences or results.

Referral and testimonial reservations. An Investor-Purchaser who refers another Investor-Purchaser whose Reservation Deposit is received, or who provides a video testimonial, may receive an expanded reservation — the right to purchase five additional buildings in Year 5 and subsequent purchase years. No buildings are given free. If exercised, the purchaser pays the same purchase price, on the same financing terms, and the same per-building deposit, withheld at the time the sales contracts are executed rather than paid upfront. The right may be declined. See the Program Disclosures and Risk Statement for the full description.

What This Program Is, Structurally

The Founding Investor-Purchaser Pre-Sale Reservation of Interest Agreement is a reservation of interest. It is not a real estate purchase contract, and it reserves the right — not the obligation — to enter into a future purchase contract. If a purchase closes, title to each individual building is conveyed in fee simple to the purchaser’s own registered legal entity under its own contract, legal description, appraisal, and closing. There is no pooled fund, no fractional or undivided interest, no partnership or membership interest, no unit, and no share of stock in SCDC or any SCDC affiliate.

Nothing on our websites or in our materials is an offer to sell, or a solicitation of an offer to buy, any security, or a recommendation to enter into any transaction. Concepts, drawings, renderings, and brochures are preliminary and subject to change in SCDC’s sole discretion. Do not rely on any representation regarding the buildings or communities other than those that appear in the applicable Purchase Contract or the governing community documents.

Your Deposit Is at Risk

The Reservation Deposit is not held in escrow or in trust, earns no interest, is used by SCDC in its operations, and is 100% non-refundable except in the limited circumstances described in our Refund Policy. You could lose the entire Reservation Deposit.

Real Estate Involves Substantial Risk

Owning multifamily rental real estate is speculative and involves substantial risk, including the risk of losing your entire equity and of liability on financing. Significant expenses — debt service, taxes, insurance, and maintenance — generally do not decline when income falls. Development-stage risk is additional and distinct: land may not be acquired, approvals may not be obtained, financing may not close, and communities may not be built on the timeline shown or at all. Affiliate Relationships

SCDC and its affiliates have financial interests at multiple points in this transaction, including as developer and seller, as selector of the first lien lender group, as the second lien holder, and as property manager through a licensed SCDC property management subsidiary or affiliate. To the fullest extent permitted by law, SCDC is not liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from your use of, or reliance on, our information or materials. This limitation does not apply to any signed Agreement or Purchase Contract, which contain their own terms.

Disputes

Any dispute arising out of or relating to this page or your use of SCDC’s websites is governed by the dispute resolution provisions of the SCDC Website Terms of Use, which provide for a sixty (60) day informal resolution period followed by final and binding individual arbitration seated in Houston, Harris County, Texas, administered by the American Arbitration Association under its Commercial Arbitration Rules, governed by the Federal Arbitration Act. Those provisions waive trial by jury and waive class, collective, and representative proceedings.

Any dispute arising out of or relating to a signed Founding Investor-Purchaser Pre-Sale Reservation of Interest Agreement, any addendum to it, or a Purchase Contract is governed by the arbitration provisions of those signed agreements, which control over this page.
